Acceptance of Terms

By accessing or using the services provided by Open Net Systems ("we," "our," or "us"), including our hotspot and PPPoE billing solutions, website, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service and all applicable laws and regulations.

If you do not agree with any of these terms, you are prohibited from using or accessing our Services.

Account Registration

Eligibility

To use our Services, you must:

• Be at least 18 years of age or have parental consent
• Provide accurate, current, and complete information during registration
• Maintain the security of your password and accept all risks of unauthorized access

Account Responsibility

You are responsible for all activities that occur under your account and for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account.

Services Description

Open Net Systems provides hotspot management and PPPoE billing solutions that allow businesses to:

• Create and manage WiFi hotspots
• Set up and administer PPPoE services
• Process payments and manage billing
• Monitor network usage and performance
• Generate reports and analytics

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, including the availability of any feature or content.

Payment Terms

Fees and Billing

You agree to pay all applicable fees for the Services as described on our pricing page. Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise specified.

Payment Methods

We accept various payment methods including credit cards and M-Pesa. By providing a payment method, you authorize us to charge all applicable fees to that payment method.

Taxes

All fees are exclusive of any applicable taxes, which you are responsible for paying as required by law.

Refunds

Refund policies are detailed on our pricing page and may vary based on the specific plan and circumstances. Generally, we offer prorated refunds for unused service periods when cancellation follows our stated policies.

User Conduct

You agree not to use our Services to:

• Violate any applicable law or regulation
• Infringe upon the intellectual property rights of others
• Harass, abuse, or harm another person
• Transmit spam, chain letters, or other unsolicited email
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any portion of the Services
• Use the Services for any fraudulent or inappropriate purpose

Intellectual Property

The Services and their original content, features, and functionality are owned by Open Net Systems and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, or transmit any of the material obtained through the Services, except as expressly permitted by these Terms.

Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Open Net Systems does not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services are free of viruses or other harmful components.

Limitation of Liability

IN NO EVENT SHALL OPEN NET SYSTEMS, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN
• ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES
• ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICES

Indemnification

You agree to defend, indemnify, and hold harmless Open Net Systems and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses resulting from or arising out of:

• Your use of and access to the Services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your use of the Services caused damage to a third party

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya.

Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
